PRIVATE FOUNDER AGREEMENT

1. Introduction

This Founder Agreement governs the rights and privileges associated with the acquisition of a Satoshi Silk & Solure Private Founder Edition.

By purchasing a Founder Edition, the Founder acknowledges and accepts the terms set out in this Agreement.

2. Founder Edition

The Founder Edition is a limited luxury collectible issued by Satoshi Silk & Solure BV.

Only 300 Founder Editions will ever be produced worldwide.

Each Founder Edition includes:

• Individually numbered Founder Creation
• Luxury Presentation Box
• Certificate of Authenticity
• Unique Founder NFT
• Lifetime Founder Status

3. Founder NFT

Every Founder Edition is linked to a unique blockchain NFT.

The NFT serves as:

• Proof of authenticity
• Proof of ownership
• Digital Founder identity
• Access credential for Founder benefits

Ownership of the Founder NFT is required to exercise Founder privileges.

4. Founder Status

Founder Status is granted for the lifetime of the registered Founder.

Founder Status includes access to:

• Founder-only product releases
• Private Founder events
• Founder communications
• Founder experiences
• Additional Founder benefits introduced by Satoshi Silk & Solure.

5. Transfer of Founder Status

Founder Status may only be transferred together with the Founder NFT and the Founder Edition.

After a verified transfer, all Founder rights automatically pass to the new registered owner.

6. Founder Program

Founder Members are admitted to the official Founder Program.

The Founder Program may evolve over time.

Satoshi Silk & Solure reserves the right to introduce additional Founder privileges that enhance the value and exclusivity of the Founder community.

7. Founder Profit Participation

Subject to applicable law, the Founder Program may include participation in distributions approved by Satoshi Silk & Solure.

Any such distributions:

• are subject to applicable law;
• require approval by the company;
• are governed by separate written rules adopted by the company;
• are never guaranteed unless expressly confirmed in writing.

The company will communicate any approved distribution policy separately.

8. No Investment Product

The Founder Edition is a luxury collectible.

The Founder NFT is a certificate of authenticity and Founder identity.

Nothing in this Agreement shall be interpreted as creating shares, securities, equity ownership or voting rights in Satoshi Silk & Solure BV.

9. Founder Community

Founder Members are expected to represent the House with integrity and respect.

The company may suspend Founder privileges in cases of fraud, abuse or unlawful conduct.

10. Intellectual Property

All trademarks, designs, artwork, logos, NFTs and branding remain the exclusive property of Satoshi Silk & Solure BV.

11. Limitation

Founder privileges may evolve as the House develops internationally.

Satoshi Silk & Solure reserves the right to improve or expand the Founder Program.

12. Governing Law

This Agreement shall be governed by Belgian law.

Any disputes shall be submitted to the competent courts of Belgium.
